By-Laws

I.          MEMBERSHIP

1.         GENERAL

This is a sovereign and democratic Baptist Church under the Lordship of Jesus Christ. The membership retains to itself the exclusive right of self-government under the Lordship of Jesus Christ in all phases of the spiritual and temporal life of the church.

The membership reserves the exclusive right to determine who shall be members of this church and the conditions for membership.

2.         QUALIFICATIONS

The membership of this church shall consist of persons, who have made a profession of their faith in Jesus Christ as Savior and Lord; who have been baptized by immersion; who have subscribed to the Church Constitution and By-Laws of this church and who have been received by vote of the church.

3.         CANDIDACY

Any person may request membership. Such candidates shall be presented to the church at any regular church service for membership:

a.         By profession of faith and baptism

b.         By promise of a letter of recommendation from another Baptist Church

c.         By statement of prior conversion experience and a recommendation by the Pastor and/or Deacon(s), when no letter is available

Should there be any dissent as to any candidate, such dissent shall be referred to the Pastor and Deacons for investigation and the making of a recommendation to the church, within thirty (30) days.

A two-thirds (2/3) majority vote of those church members present and voting, shall be required to elect a candidate to membership.

All candidates shall be interviewed by the Pastor and/or Deacon(s).

4.         VOTING

Every member of the church, twelve (12) years of age and older, is encouraged and entitled to vote at all elections and on all questions submitted to the church in a business meeting, provided the member is present. Verifiable/approved absentee votes will be accepted from members in good standing. A member is considered to be in good standing when he/she has regular attendance at one or more of the regularly scheduled services.

5.         TERMINATION

The church will review the membership rolls annually and remove from the rolls inactive members.

Membership may be terminated by:

a.         Death

b.         Transfer to another Baptist church

c.         Joining a church of another denomination

d.         Action of this church

e.         Resignation

6.         Members moving beyond the bounds of the church but desiring to have their membership to remain therein are expected to report to the church in person or by letter at least once every year, unless other arrangements have been made. If a report is not received within a year, the church shall make all reasonable efforts to communicate with such member. If all communication efforts fail, or no reply is received within a period of one year, the members name shall be removed from the church roll. The Membership Committee shall be responsible for follow-up and reporting to the church.

7.         DISCIPLINE

Ka’ala View Baptist Chapel will emphasize to its members that every reasonable measure will be taken to assist any troubled member. The Pastor, Other members of the church staff, and the Deacons are available for counsel and guidance. Restoration rather than punishment shall be the guideline which governs the attitude of one member toward another.

Should some serious condition exist which would cause a member to become a liability to the general welfare of the church, every reasonable measure will be taken by the Membership Committee to resolve the problem. All such proceedings shall be pervaded by the spirit of Christian kindness and forbearance. But, finding that the welfare of the church will best be served by the exclusion of the member, the church may take this action by a two-thirds (2/3) majority vote of the members present at a meeting called for this purpose. The church shall notify members in question of said meeting in advance and in writing.

Matthew 15:17-18 will be fulfilled and no member shall be excluded without the privilege of a hearing and a two-thirds (2/3) majority vote of the members present and voting.

8.         RESTORATION

Any person whose membership has been terminated for any condition that has made it necessary for the church to exclude him, may upon his request be restored to membership by a vote of the church upon evidence of his repentance and reformation.

Galatians 6:1-5 shall be the guide for restoration.

II.         CHURCH OFFICERS

1.         GENERAL

All Church Officers must be members of Ka’ala View Baptist Chapel. They shall serve at the pleasure of the church. Their call and/or election shall be in the manner described herein. The Officers of this Church and their duties and responsibilities shall be as follows. It is intended that a person serve in only one office at a time; but it is acknowledged that at times it may be necessary and/or desirable for a person fill more than one church office or position. All elected Church Officers and committees will be installed each year on the first Sunday of the new church year.

2.         PASTOR

The Pastor shall fill as nearly as possible the qualifications as set forth in the scripture: I Timothy 3:1-7 and Titus 1:5-9.

The Pastor shall conduct the public services for the edification of the believers and the salvation of the lost. The general development of the church work shall be under his supervision. He shall be an ex-officio member of all boards and committees. He may call any board or committee together for the transaction of business. He shall be responsible for the general supervision and direction of church staff and related organizations. Specific administrative responsibilities belong to the church administrator under the supervision of the Pastor.

A complete job description shall be written prior to calling a Pastor.

A Pastor shall be chosen and called by the church whenever a vacancy occurs. His election shall take place at a meeting called for that purpose, of which at least one week's public notice has been given. A Pastor Selection Committee, representative of the membership, shall be elected by the church to seek out a suitable Pastor, and its recommendations shall constitute a nomination. Any member shall have the privilege of making other nominations. The committee can utilize procedures suggested in the Hawaii Baptist Convention Study Report on Church and Pastor Relationships. The committee shall bring to the consideration of the church only one name at a time. Election shall be by secret ballot, an affirmative vote of three-fourths of those present being necessary for a choice. The prospective Pastor shall be notified immediately concerning the exact vote by the chairman of the Pastor Selection Committee. The Pastor, thus elected and having accepted, shall serve until this relationship is terminated by his request or by the church's request. A thirty-day notice is to be required in either case before the termination of the pastoral leadership responsibilities. The Elders of the church shall be the spiritual advisors to the Pastor.

The Pastor is the designated signor for the church in Spiritual or Religious matters and, in the absence of the Church Administrator and Moderator, administrative matters. These matters shall be approved in advance by the church.

These by-laws are not intended in any way to limit the Pastor’s obligation and ability to present the Gospel and to provide Spiritual guidance to the church in all matters.

3.         CHURCH STAFF

This Church shall call or employ such staff members as the church shall need. A job description shall be written when the need for staff members is determined. Staff members other than the Pastor shall be recommended to the church and employed by church action. At least two weeks notice at the time of resignation should be given.

Included in the church staff are the Pastor , church administrator, church clerk, secretaries and custodians. Secretaries and custodians will be recommended to the church. They need not be members of the church though it is highly desirable.

Salary for the church staff (paid and voluntary members) shall be reviewed annually by the budget and finance committee. Recommendations for changes will be submitted to the church for approval.

4.         ELDERS

The Elders shall serve as spiritual advisors to the Pastor, and shall not be members of the church council. The Elders may be elected annually to a term of three (3) years and they shall be qualified in accordance with Titus 1:5-14.

5.         DEACONS AND DEACONESSES

In accordance with the meaning of the work and the practice of the New Testament, Deacons are to be servants of the church. Deacons will serve with the Pastor and staff in performing Pastoral ministry tasks: proclaim the Gospel to believers and unbelievers; care for the church members and other persons in this community; lead the church to engage in fellowship and worship, witness, education, ministry, and application; and lead the church in performing its tasks. The Deacons, under the supervision of the Pastor, will develop and administer a program designed to minister to the spiritual needs of the church members. They will also assist the Pastor in administering the Lord's Supper and Baptism. The Deacons shall annually elect their officers, including a Chairman of Deacons, and organize themselves to carry out their responsibilities in the service of the church and our Lord.

In the absence of the Pastor, the Deacons shall see that the pulpit is supplied, it being understood, however, that the Pastor may personally arrange for such supply. When the church is without a Pastor, it shall be the duty of the Deacons to see that the regular program of the church is carried out. The Chairman of the Deacons shall give general directions to the work of the church.

It is understood that, in the absence of the Pastor or a Pastor, the Deacons are the Pulpit Supply Committee.

Persons who meet the scriptural qualifications, especially as set forth in I Timothy 3 and Acts 6, shall be eligible. A person nominated as a Deacon must also have been a member of this church for at least six months prior to being nominated, and shall have at least nine months to serve after election. Deacons and Deaconesses shall be qualified in accordance with the Scriptures and ordained prior to their call to service. Extra Deacons and Deaconesses (ordained) shall be on call. The Pastor may call and ordained Deacon or Deaconess to temporary service for up to three months. Further service will require election by the church.

The Deaconesses shall be organized in like manner as the Deacons and shall report directly to the Pastor for their duties.

The Deacons and Deaconesses shall have joint meetings from time to time. Joint meetings may be called by the Pastor or Senior Deacon. These joint meetings will be presided over by the Pastor, or the Senior Deacon.

There shall be one Deacon and / or one Deaconess for every 20 members or portion thereof. Additional Deacons will be elected when deemed necessary by the church.

The Deacons and Deaconesses shall serve on a rotational basis. Each year the term of office of one third of the number of Deacons / Deaconesses shall expire, and election shall be held to fill the vacancies. active Deacons / Deaconesses may be nominated and re-elected. In case of death, removal, resignation, or incapacity to serve, the church may elect a Deacon / Deaconess to fill the un-expired term. Elections may be held annually to fill expired terms with special elections held no more than twice in a calendar year to elect replacement Deacons for un-expired terms. the church may elect a Deacon / Deaconess up to three months early to replace a Deacon / Deaconess whose term of office will expire.

Election of Deacons / Deaconess shall take place as follows. For three successive Sundays the church shall publicize the Deacon / Deaconess qualifications and need to nominate Deacons / Deaconess On the forth Sunday, during the Morning Worship Service, the congregation will be asked to submit written nominations for the office of Deacon / Deaconess. To be nominated, a nominees name must appear at least five(5) times. Each nominee shall be personally interviewed by at least two members of the Deacon fellowship or the Pastor to determine qualifications and his willingness to serve. Names of nominees who are found to be fully qualified and willing to serve shall be listed on a ballot and presented at the next regular business meeting. Election of future Deacons will be held on the last Sunday of the month during the Morning Worship Service. The number of Deacons to be elected shall be specified on the ballot. to be elected, the nominee must receive an affirmative vote on 50% of the ballots cast. If the nominee receives less than 50% of the ballots cast he will not be elected as a Deacon. Names of the Deacons / Deaconess elected will be announced at the next Morning Worship Service.

The Deacons shall serve as the church tellers; responsible to count the church tithes and offerings, turnover all money to the treasurer, and turnover the count contribution listing and envelops to the financial secretary. All tithes and offerings shall be kept strictly confidential, except those appointed by the church as financial secretary and tellers.

The Deacons and Deaconesses are the Benevolence Committee.

6.         CHURCH ADMINISTRATOR

The Church Administrator may be a salaried position. The church administrator is directly supervised by the pastor, and is wholly responsible for the financial condition of the church, for the administration of the church and the direct supervision of the church moderator and staff; administrative supervision of the church clerk, financial secretary, treasurer, and committees; and other administrative responsibilities as assigned by the church. The church administrator is a member of the trustees, and the church council.

The Church Administrator is the President of the Corporation known as Ka’ala View Baptist Chapel.

The Church Administrator can authorize expenditures of church funds up to the amount of $500.00 without prior approval of the church and in urgent or emergency situations up to $1,000.00. The Church Administrator will justify these expenditures at the next regularly scheduled business meeting. The church may grant temporary authority to the administrator to authorize expenditures at a higher level for specific purposes or projects.

The Administrator may appoint a competent member or members to act for the Moderator and/or Clerk during a meeting where either or both are absent and in accordance with these by-laws.

The Church Administrator is the designated signor for the church. He / she shall not obligate or otherwise encumber the church financially, accept as authorized by the church.

The Church Administrator acts for the church in Administrative and Financial matters as authorized by the church.

This authority shall in nowise allow the Church Administrator to act for the church in Spiritual or Religious matters, which is the responsibility of the Pastor, Elders, and Deacons.

The Church Administrator shall be elected annually.

7.         CHURCH CLERK

The church clerk shall keep the minutes of all business and church council meetings. He / She is responsible for keeping a register of the names of members, the dates of admission, dismissal or death, together with a record of baptisms and issue baptismal certificates signed and authorized by the Pastor.

He / She shall write letters of recommendation approved by the church (signed by the Pastor).

The clerk shall receive and track all pertinent correspondence and written official reports, and should be generally aware of correspondence in the church’s name or on church letterhead.

The clerk shall give notice of all meetings as required by these by-laws. All church records kept by the church clerk are church property and shall be filed in the church office. The Church Clerk shall be a member of the Membership Committee.

The clerk shall keep a full compliment of office supplies.

If a Petty Cash account is authorized, the Church Clerk shall maintain the ready cash. Petty Cash expenditures shall be authorized by the Pastor or Church Administrator. The Church Financial Secretary shall supervise the clerk in the use of this account any all transfer of funds between the Treasurer and the Church Clerk.

The Church Clerk is responsible for the Church Calendar.

The church clerk shall be elected annually.

8.         MODERATOR

The Moderator shall be elected annually. In the absence of the Moderator the clerk shall call the church to order and an acting moderator shall be elected or appointed by the Church Administrator. The Moderator shall conduct the business meetings of the church in accordance with the Constitution and By-Laws of Ka’ala View Baptist Chapel and Robert's Rules of Order. The Moderator is the Vice President of the Corporation known as Ka’ala View Baptist Chapel. The Moderator is responsible for all meeting agenda’s under the supervision of the Church Administrator. When the Church Administrator is incapacitated the Moderator will assume the duties of the Church Administrator. The Moderator shall be an assistant to the Church Administrator and shall perform such other duties as directed by the Church Administrator.

9.         TRUSTEES

Three members elected by the church and the Church Administrator shall serve as the Trustees. They will hold in trust the church property (the material assets of the corporation known as Ka’ala View Baptist Chapel) They shall have no power to buy, sell, mortgage, lease, or transfer any property without a specific vote of the church authorizing each action. It shall be the function of the trustees to affix their signatures to legal documents involving the sale, mortgage, purchase, or rental of property or other legal documents where the signatures of trustees are required, a minimum of two trustees signatures being required.

The Trustees shall serve a term of three (3) years, with one new trustee being elected each year. The Church Administrator shall be elected annually.

10.       TREASURER

The church shall elect annually a church Treasures to receive, preserve, and put out, upon receipt of vouchers approved and signed by authorized personnel, all money, or things of value paid or given to the church. The Treasurer is responsible to make all deposits. An itemized account of all receipt and disbursements will be kept. Disbursements shall be as set forth in the annual budget unless otherwise instructed by the church. It shall be the duty of the treasurer to render to the church at each regular business meeting an itemized report of the receipts and disbursements for the preceding month(s) – Income and Expense Report The treasurer's reports shall be audited annually by the Financial Secretary. Double entry book keeping will be the accounting procedure used by the Treasurer.

Upon rendering the annual account at the end of each fiscal year, audits acceptance and approval by the church, the records shall be delivered by the treasurer to the church clerk, who shall keep and preserve the account as a part of the permanent record of the church.

11.       FINANCIAL SECRETARY

The Financial Secretary shall be elected by the church annually and shall be the chairman of the budget and finance committee. The financial secretary shall receive the collection envelops after the money has been removed and counted by the Deacons. He/She shall give donors individual credit, be responsible for preparing and delivering annual records of contributions to all contributing members ( records of contributions are confidential ), and shall keep the envelopes for reference for two(2) years; an annual record of contributions for seven(7) years. All tithes and individual offerings shall be kept strictly confidential except those appointed by the church as financial secretary and tellers.

The Financial Secretary is the Church Auditor. Annually the Financial Secretary shall audit the Treasurer’s records, the Petty Cash Account, and other financial records of committees and individuals. A report shall be made to the Church at the Annual Meeting.

The Financial Secretary shall present at each regular business meeting the “Balance Sheet” and financial analysis reports. The material assets of the church should be shown on the “Balance Sheet”.

Budget analysis reports should be made at regular meetings.

12.        BIBLE SCHOOLS DIRECTOR

Elected annually, the Bible Schools Director shall be responsible for the Church training programs. The Bible Schools Director is a member of the Church Council. He / She shall research suggested training and make recommendations to the Church. The Bible Schools Director, is directly supervised by the Pastor for Christian Training, including Sunday School, Vacation Bible School, Church Bible Training, etc. The Bible Schools Director, is directly supervised by the Church Administrator for other than Christian Training. The Bible Schools Director shall make recommendations to the Nominating Committee for Bible Schools Teachers and helpers.

13.       MUSIC DIRECTOR

Elected annually, the Music Director shall be responsible for the Church’s music programs including the Easter, Christmas, and Summer Concert Programs. Special programs such as Men’s Day, Women’s Day, etc will be coordinated by the Music Director. The Music Director is a member of the Church Council and Chairman of the Music Committee. He / She is responsible for the Church Bulletins, the selection of Worship Music, and shall research current music trends and make recommendations to the Church concerning music. The Music Director is directly supervised by the Pastor. The Music Director, is supervised by the Church Administrator for administrative matters.

14.       YOUTH DIRECTOR

Elected annually, the Youth Director shall be responsible for the Church’s Youth Programs. The Youth Director is a member of the Church Council and Chairman of the Youth Committee. He / She is responsible for youth outreaches as directed by the Pastor and shall research current trends and make recommendations to the Church concerning youth ministries. The Youth Director, is directly supervised by the Pastor. The Youth Director, is supervised by the Church Administrator for administrative matters.

15.        SPORTS DIRECTOR

Elected annually, the Sports Director shall be responsible for the Church’s sports programs and outreaches including Sports Sunday usually held on the forth Sunday of the month. The Sports Director is a member of the Church Council and Chairman of the Sports Committee. He / She shall make recommendations to the Church concerning sports and sport events. The Sports Director, is directly supervised by the Pastor. The Sports Director is supervised by the Church Administrator for administrative matters.

III.        CHURCH COUNCIL

The primary functions of the Church Council shall be as the Church Board of Directors. The Church Council (Board of Directors) will organize using the church Articles of Incorporation as a guide.

The Church Council shall recommend to the congregation objectives and church goals; review and coordinate the program plans recommended by church officers, organizations, and committees; recommend to the congregation the use of leadership, calendar time, and other resources according to program priorities; and evaluate program achievements in terms of church goals and objectives.

The Church Council, unless otherwise determined by vote of the church, shall have as regular members the Pastor, church administrator, church officers, the chairman of Deacons, and the trustee board. Committee chairmen, presidents, and program organization directors shall serve as ex officio members.

All matters agreed upon by the council, calling for action not already authorized, shall be referred to the church for approval or disapproval.

IV.       COMMITTEES

1.         GENERAL

a.         The church shall be free to authorize, activate, or deactivate as many committees, standing or temporary as is deemed necessary.

b.         The recommendations of a committee shall not be considered binding upon the church.

c.         Committees shall be elected annually at the last business meeting of the church year.

d.         The nominating committee shall bring nominations to the church for a yes or no vote. Any floor nominations or recommendations, to fill vacancies, shall be referred to the nominating committee, except as described in these by-laws.

2.         PULPIT SUPPLY

a.         The Pulpit Supply Committee shall be the church Deacons, chaired by the Chairman of the Deacons.

b.         The Pulpit Supply Committee shall function in the absence of the Pastor and upon the resignation of the Pastor. The Pastor shall be responsible for the filling of the pulpit at all times during his tenure as Pastor.

c.         The Pulpit Supply Committee shall inform the visiting preacher weather he is coming to supply or is in view of a call.

3.         USHERS

a.         The church shall elect ushers annually and whenever additional ushers are needed.

b.         The ushers shall greet the people, seat them and be alert to the comfort of the audience. They shall check lighting, ventilation, etc.

c.         The ushers are responsible to see that the church facilities are prepared for the service and secured after the service.

d.         Officers of the ushers shall be elected annually by the ushers.

4.         NOMINATING COMMITTEE

The nominating committee shall be elected annually, and consist of a minimum of three (3) members or any odd number of members above three (3). Members of the nominating committee shall be nominated from the floor and elected by majority vote at the last business meeting of the church year. Officers of the nominating committee shall be elected by the members of the committee.

Duties :

a.         Nominate to the church members to fill leadership and committee positions or vacancies.

b.         Interview members to fill leadership and committee positions or vacancies.

c.         Interview persons referred to the committee to fill church positions.

d.         Present to the church; at the regular business meeting, one month prior to the last business meeting of the church year; a list of nominations for the new church year. Any questions concerning the nominees may be resolved prior to the election at the last business meeting of the church year.

5.         BUDGET AND FINANCE COMMITTEE

Shall be composed of the financial secretary, who shall be the chairman, treasurer, trustees, and others as shall be nominated and elected.

Duties :

a.         Receive proposals for annual funding, from church staff, officers, committees, and church sponsored organizations.

b.         Compile funding requests and prepare a proposed budget based on the expected church income. Consideration shall be given to prior years expenditures, financial trends, church priorities, and other factors as deemed important to the church's welfare. The proposed budget should be presented to the church at the business meeting prior to the last meeting of the church year.

c.         Make recommendations to the church as to how funds should be allocated.

d.         Provide a monthly comparison of expenditures to budgeted amounts, to the church.

e.         Provide a annual evaluation of church expenditures and budget analysis with recommendations at the last business meeting of the church year.

f.          Review Audits done by the Financial Secretary.

A new budget shall be adopted by the church at the last business meeting of the church year. It is understood that it the church should not expect to live on debt.

6.         BUILDINGS AND GROUNDS COMMITTEE

The Buildings and Grounds Committee shall be elected annually and shall be composed of two (2) or more members, as deemed necessary by the church. This committee is responsible for the material condition of the church properties. They will recommend to the church work days and coordinate the work effort of the volunteers.

7.         HOSPITALITY COMMITTEE

The Hospitality Committee shall be composed of one (1) or more members as deemed necessary by the church, elected annually. This committee is responsible to ensure visitors complete visitor cards, receive lei's (first time visitors), and are introduced to the church during the service attended.

8.         TRANSPORTATION COMMITTEE

The Transportation Committee shall be composed of one or more members elected annually, and shall be responsible for the material condition of the church's vehicles. This committee shall coordinate the pickup schedule and routes for members and guests attending regularly scheduled services. They shall solicit volunteers to drive the vehicles.

The committee shall solicit volunteers to drive the vehicles, all drivers must be age 21 or older and must be approved by the church body at a regularly scheduled meeting or special meeting called for that purpose.

9.         FLOWERS AND GIFT COMMITTEE

The Flowers and Gift Committee shall be elected annually. Coordination of flower arrangements and those volunteers bringing flowers to the various worship services shall be handled by this committee. One or more members shall compose this committee.

10.       LIBRARIAN

One or more Liberians shall be elected annually to maintain the church's library (books, tapes, papers, research documents) and historical records (the church history).

11.       LORD'S SUPPER COMMITTEE

Shall be the Church Deacons and Deaconess's (if there be any). They shall prepare for the Lord's Supper Ordinance to be done. Preparations shall be done as directed by the Pastor using sound Biblical procedures. This Ordinance will usually be done on the first Sunday of the month.

12.       KITCHEN COMMITTEE

One or more members elected annually, shall coordinate the use of kitchen facilities, distribute refreshments as requested by the Pastor, coordinate 'pot luck dinners', be responsible for the cleanliness of the kitchen facilities, and be responsible for cleanup after events requiring use of kitchen facilities.

13.       CONSTITUTION AND BY-LAWS REVISION COMMITTEE

Shall be composed of a minimum of three (3) members elected by the church. This committee shall be commissioned to recommend changes in the Church Constitution or By-Laws. Revision of both the Constitution and the By-Laws shall not be done at the same time. After one set of revisions have been adopted or rejected by the church, then the committee will be free to begin work on the other set of revisions. ( The Constitution and the By-Laws can not be revised during the same time period) The Constitution and By-Laws Committee shall be commissioned to operate when deemed necessary by the church. Member terms shall be until the commission has expired or the church year ends, which ever is sooner. Recommendations shall be acted upon by the church as stated in the Constitution and in these By-Laws.

14.       PRISON MINISTRY TEAM

Volunteers are approved annually by the church.

Duties: Provide Bible Study, Counseling, Spiritual Guidance, and other comfort to those incarcerated in Hawaii Prisons.

Assist the Good News Jail and Prison Ministries where possible

15.       COMPUTER / IT COMMITTEE

Responsible for the church computer and data processing needs.

Responsible to provide computer training, install computer programs, perform systems analysis, and maintain the church WEB Site, and such other duties as assigned by the church.

16.       OTHER COMMITTEES

Other committees (temporary or standing) may be commissioned by the church at regular or special business meetings. Committee duties and responsibilities, commission term, and member requirements will be delineated at the time of commission.

V.        PROGRAMS, MINITRIES AND ORGANIZATIONS

1.         GENERAL

All church program organizations shall be under church control, all officers being elected by the church and reporting regularly to the church. All church organization officers and teachers shall be members of the church.

2.         BIBLE SCHOOL PROGRAMS

There shall be Bible teaching ministries for all ages under the supervision of a Bible Schools Director, for the study of God's Word. The tasks of the Bible School Programs shall be to teach Biblical Revelation; lead to reaching all prospects for the church; lead all members to worship, witness, learn, and minister daily; and provide and interpret information regarding the work of the church and the denomination. The Bible Schools Director shall assist the Nominating Committee in obtaining volunteers for teacher and assistants positions.

a.         The Sunday School shall be conducted regularly before the Sunday Morning Worship Service. Teachers shall be elected annually by the church.

b.         The mid-week Bible classes shall be conducted for ages 1.5 years through high school. Older groups will normally attend Mid-week Prayer Meeting.

c.         Vacation Bible School shall be taught during the summer months when authorized by the church.

3.         CHURCH TRAINING PROGRAM

When necessary, a church training program for all ages shall be conducted under the supervision of the Pastor or his designee.

The tasks of the Church Training Program shall be to teach systematic theology, Christian History, Christian Ethics, and church policy and organization; give orientation to new church members; train all church members to worship, witness, learn, and minister daily; train leaders for the church and the denomination and leadership for special projects of the church; and provide and interpret information regarding the work of the church and the denomination.

4.         MISSIONS PROGRAM

The Missions Program shall be under the supervision of the Pastor, assisted by the Deacons.

a.         When necessary, a missionary education ministry with such officers and organization can be used to teach missions; lead persons to participate in missions; provide organization and leadership for special mission projects of the church; and provide and interpret information regarding the works of the church and denomination.

b.         Church sponsored: the Deacons shall under the supervision of the Pastor assist Mission Churches. All members of the Mission Churches shall be members of this church with full rights of membership. A Mission Committee shall be established for each church sponsored mission. The Mission Committee shall be composed of equal members elected from each body. The Pastor or his designee shall be the president of the committee and shall give the committee and odd number of members. As provided in Robert's Rules of Order, the Pastor shall not vote except when there is a tie in the vote.

c.         The main goal of the Missions Program is to provide independent missionaries and churches to our community and around the world, as God leads. It is therefore necessary that Ka’ala View encourage these to become independent as soon as possible, and stand ready to assist if a child of Ka’ala View has difficulty. Plans should be made to this end when a mission is started or a missionary is sent out.

d.         The Pastor or his designee shall visit the mission(s) or missionary(ies) as often as necessary that the church may have frequent current reports or the status of missionaries and missions.

5.         CHURCH MUSIC PROGRAM

There shall be a church music ministry under the direction of the Church Music Director. The music tasks shall be to teach music and hymnody, provide music and musicians for the congregational services and the organizations of the church; lead persons to participate in hymn singing, train persons to lead, sing, and play music; provide organization and leadership for special projects of the church and provide and interpret information regarding the work of the church and the denomination. The church Music Director, elected annually, shall supervise and coordinate the efforts of the various choir directors, organists, pianists, and make recommendations to the Pastor for music during each worship service. Choir Directors elected by the church; shall be supervised by the Church Music Director. The church pianist and organist; may be compensated by the church for their work, this is recommended if the instrumentalist plays for the choirs.

6.         MINISTRIES

Ministries are appointed by the Pastor; assisted by the Elders. Their duration may be long term or short term with the number of members and term designated by the Pastor. If church funds are used by the ministry, it shall be organized as a committee and present reports at the regular business meetings.

VI.       ORDINANCES

1.         BAPTISM

Any professed believer shall be baptized by immersion in the presence of the church. Time and place of the baptism shall be decided by the Pastor and the newly professed believer. In the event of the Pastor being absent, or at his request, the church may authorize any ordained Baptist Minister or Deacon to administer the ordinance.

2.         LORD'S SUPPER

The Lord's Supper shall be observed quarterly. Any Baptist believer may partake of the Lord's Supper which shall be administered by the Pastor and Deacons. However in the absence of the Pastor, the Deacons will administer the ordinance. Preparation shall be made by the Ordinance Committee or Deacons.

VI.       CHURCH MEETINGS

1.         WORSHIP

The church shall meet regularly on Sunday morning, Sunday evening, Wednesday evening for Bible teaching, preaching, fellowship, and for Worship of Almighty God. These meetings will be open to all people and shall be conducted under the direction of the Pastor or his representative.

2.         SPECIAL SERVICES

Revival Services or other special services will be voted on by the membership and placed on the church calendar.

3.         REGULAR BUSINESS MEETINGS

Business meetings will be held as designated by the church. The Moderator shall preside at all business meetings.

4.         SPECIAL BUSINESS MEETINGS

            Additional business meetings shall be called for special matters. A one week notice on the subject and time shall be given to the membership unless urgency renders the notice impractical, in which case the membership shall be notified by phone.

5          QUORUM

A quorum shall consist of 10% of the resident members or seven (7) resident members, whichever is greater. The Clerk shall announce the number of the quorum before the meeting is called to order.

6.         PARLIAMENTARY RULES

Robert's Rules of Order Revised shall be used for all business meetings.

VIII.     CHURCH FINANCES

1.         BUDGET

The Stewardship Committee, in consultation with the Church Council and Committee Chairman, shall prepare and submit to the church for approval an inclusive budget, indicating by the items the amount needed and sought for all local and world wide expenses.

2.         FISCAL YEAR

The fiscal year of the church shall begin on the first day of October of each year.

3.         ACCOUNTING PROCEDURES

All funds for any and all purposes shall pass through the hands of the church Treasurer or Financial Secretary and be properly recorded on the books of the church. Those authorized to sign checks shall be the Treasurer, the Financial Secretary, and whomever the church authorizes. All checks will be countersigned.

4.         AUDIT

The church's books of account shall be audited at least once a year, if deemed necessary. The auditor or auditors shall be named by the church membership.

5.         LOANS

All loans made by the church will be distributed only for active church members in accordance of Ka’ala View Baptist Chapel By-Laws Chapter I Section(s) 1, 2, and 3. Prior to all loan approvals, KVBC must obtain all verifications of loan request from requestor.

Loan approval shall consist of at least two(2) “in favor” by the following personnel: the Financial Secretary; the Church Administrator; or the Church Pastor. This type of approval for a loan will be distributed only for the following purpose:

a.         Emergency. Emergency loans are classified as loans that are required from KVBC that is needed within a twenty-four (24) to forty-eight (48) hour period to pay off an outstanding debt.

b.         Hardship. Hardship loans are classified as loans that is needed by the requester to pay off outstanding debts before the requester loses or lost any more than one of the following:

1.         Business, Employment, of Financial Independence

2.         Eviction or Foreclosure

3.         Excessive emergency Medical Bills

All other loans that does not qualify as any of the already mentioned loans above shall need the approval of the church at the next regular business meeting that are held in accordance with the KVBC By-Laws Chapter VI Section 3.

Ka’ala View Baptist Chapel Corporation is not and shall not be referred as a Financial Institution. Unlike a Financial Institution, requester is required to sign a loan contract that will be binding by the laws of the state; through KVBC, requester is required to sign a Promissory Note, which will be binding by the laws of God.

IX.       LICENSING OR ORDAINING

1.         LICENSING

Any member of the church who has shown, by his life and has felt the call to the Gospel Ministry may, by vote of the church at a regular business meeting, be licensed by the church to the Christian Ministry.

2          ORDINATION

When a church of similar faith and order shall have called as its Pastor a member of this church who possess Scriptural qualification for ordination in the work of the Gospel Ministry and request in writing that he be ordained, this church shall consider such a request. If the church by a vote of majority members present and voting at a regular meeting, approve such a request, then it shall authorize and direct the Pastor to assemble a council of ordained ministers of the Gospel of similar faith and order, and Deacons of similar faith and order to perform the ceremony of ordaining the candidate to the Gospel Ministry in the name and presence of this church.

X.        AMENDMENTS

These By-Laws may be amended or changed at any regular business meeting of the church by a two-thirds(2/3) majority vote of the members present and in good standing as long as such amendment or change is not subversive to or in violation of the spirit and purpose of the Constitution; and provided that written notice of such change or amendment shall have been read at the business meeting one month previous, and on two successive Sundays preceding the vote and filed with the Clerk of the church. A printed copy of the proposed change(s) may be provided to each member. A verbal reminder and notice in the Sunday Bulletin on two successive Sundays preceding the vote – this shall apply to changes that are more than one normal page length, shall be considered the same as having read the proposed changes; except in the case of those physically impaired. In case of an emergency, a special meeting to amend or change the By-Laws can be called provided that every member of the church shall be notified by letter or personal contact.

XI.       BY-LAWS

This church shall have the right to make such by-laws and rules as it may seem fit. The Constitution and Amended By-Laws shall compose the Constitution and By-Laws of the KA’ALA VIEW BAPTIST CHAPEL OF WAIANAE, OAHU, HAWAII 96792.

XII.      DISSOLUTION

If a motion to dissolve Ka’ala View Baptist Chapel is Made, and Seconded the following procedures shall be implemented;

1.         NOTICE.

a.         Beginning at the next Sunday Morning Worship Service the Announcement of the Intent To Dissolve shall be read and at each Sunday Morning Worship Service for at least three (3) more Sundays prior to the vote.

b.         Written notice of the intent to dissolve shall be given to the current membership during the week after the initial motion. This notice shall include the date of the Special Call Meeting (For The Purpose Of Dissolution) which date shall be the Sunday after the notice of intent to dissolve is read for four (4) Sundays.

2.         PROPERTY

Upon winding up and dissolution of this corporation, after paying or adequately providing for the debts and obligations of the corporation, the remaining assets shall be distributed to a another non-profit, organized church(es) of like faith and beliefs organized and operated exclusively for charitable, educational, and/or religious purposes and which has established its tax exempt status under Section 501 (c) (3) of the Internal Revenue Code.
